About the role
Reporting to the General Counsel, you will provide Company Secretariat services to the Boards and Committees of Ventia Services Group Pty Limited and its subsidiaries.
Your core focus is to advise the Boards, Chair and other officeholders on all governance matters and ensure a robust governance framework is in place and working effectively. In addition to this you will maintain an effective dialogue with shareholders, directors, executive leadership and other stakeholders. This includes:
Providing high quality secretarial support to the group Boards and Committees including preparing agendas, board packs, minutes, resolutions and correspondence
Regular communication with the chairs regarding Board and Committee matters
Ensuring the corporate governance framework applicable to Boards and Committees is appropriate, documented and promoted
Statutory Reporting for approximately thirty companies across Australia and Asia-Pacific
Ensuring activities related to the company secretariat functions comply with legal requirements, the DoA and ethical standards
Timely and accurate reporting to the directors, shareholders and external authorities
Timely and accurate lodgement as required with the regulators including ASIC and the NZ Companies Office
Ensuring company and corporate registers are properly maintained, including administration of information held in the Blueprint electronic register system
To meet the challenge of this role, you have the well-developed ability to champion and deliver a culture of good corporate governance and commit to best practice, transparency and accountability.
You will demonstrate a proactive mindset, ability to prioritise, work well under pressure and exercise judgement and discretion. Your pragmatic approach and operational approach will be essential when interacting with, and manage the demands of, multiple stakeholders.
You will require at least 10 years of experience in a similar role in a mid to large organisation, as well a Degree in a relevant discipline and/or formal qualifications from the Governance Institute of Australia. You will also have extensive knowledge of the Corporations Act and company reporting requirements in Australia and New Zealand.
Experience within an organisation that provides major services that support large telecommunications / construction / civil projects will be highly regarded.
